These Terms of Service ("Terms") govern your access to and use of the ShipHub warehouse-management and order-fulfillment software platform (the "Service") operated by PAX TRADING, INC ("ShipHub", "we", "us", or "our"). By installing the ShipHub app, connecting a sales channel, or accessing the ShipHub admin, you ("Merchant" or "you") agree to these Terms. If you do not agree, do not install or use the Service.
ShipHub provides software that ingests orders from your connected Channels, routes them to your designated fulfillment location(s), and syncs inventory and fulfillment updates back to those Channels. These Terms govern only the software Service. Physical fulfillment, shipping, storage, and related operational services are governed exclusively by your separate Fulfillment Agreement with PAX TRADING, INC.

Fees for the software Service and any fulfillment services are set forth in your Fulfillment Agreement or the applicable pricing schedule. You agree to pay all undisputed fees when due. Late or unpaid amounts may result in suspension of the Service in accordance with Section 12. Fees are non-refundable except where required by law.
ShipHub and its licensors retain all right, title, and interest in and to the Service, including all software, technology, documentation, designs, and intellectual property rights. You receive only a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of these Terms for your internal business purposes. No rights are granted by implication or estoppel.
You retain all rights to your Merchant Data, subject to the license granted in Section 7.
You grant ShipHub a worldwide, non-exclusive, royalty-free license to access, host, copy, process, transmit, and display Merchant Data solely as necessary to provide, secure, and improve the Service, to perform our obligations under your Fulfillment Agreement, and to comply with applicable law. You represent and warrant that you have the right to provide all Merchant Data to ShipHub and that doing so does not violate any third-party rights or applicable law.
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You remain the data controller for customer data originating from your Channels; ShipHub acts as a processor on your behalf.
The Service interoperates with third-party Channels and shipping carriers (Shopify, Amazon, UPS, USPS, FedEx, etc.). ShipHub does not control those services and is not responsible for their availability, behavior, fees, or terms. Your use of any third-party service is governed by that service's own terms.
Each party may receive non-public business or technical information of the other ("Confidential Information"). The receiving party will use Confidential Information only as needed to perform under these Terms, will protect it with at least the same care it uses for its own confidential information (and no less than reasonable care), and will not disclose it to third parties except to its personnel or sub-processors who are bound by similar obligations. This Section does not apply to information that is or becomes public other than through breach, was already known without restriction, or is independently developed.
The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. ShipHub does not warrant that the service will be uninterrupted, error-free, completely secure, or that Channel or carrier integrations will operate without disruption.
To the maximum extent permitted by law, ShipHub's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to ShipHub for the Service during the three (3) months immediately preceding the event giving rise to the claim. In no event shall ShipHub be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, regardless of the theory of liability and even if ShipHub has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless PAX TRADING, INC and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Merchant Data or the products you ship; (b) your use of the Service in violation of these Terms or applicable law; (c) your breach of any representation, warranty, or obligation in these Terms; or (d) your violation of any third-party rights, including intellectual property or privacy rights.
These Terms remain in effect while you use the Service. You may disconnect any Channel or uninstall the app at any time; uninstalling sets the affected Channel connection to Disconnected and clears the stored access token. We may suspend or terminate your access to the Service, in whole or in part, if (i) you materially breach these Terms, (ii) you fail to pay undisputed fees when due, or (iii) your use creates risk to ShipHub, other merchants, end customers, or a Channel platform.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including Sections 6, 7, 10, 11, 12, 13, 15, 16, and 17) will remain in effect. Order data is retained or deleted per the Privacy Policy.
We may update these Terms from time to time. We will notify you of material changes by email or via the ShipHub admin, and the "Last Updated" date at the top will reflect the current version. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas, for any dispute arising out of or related to these Terms or the Service.
These Terms, together with the Privacy Policy and your Fulfillment Agreement, constitute the entire agreement between you and ShipHub regarding the Service and supersede all prior or contemporaneous understandings on the same subject. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms or any rights under them without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures due to events beyond its reasonable control (force majeure).
